Terms & Conditions

These Terms and Conditions (“Terms”) govern the access to and use of the services, products, platforms, and solutions (“Services”) provided by ezSIMConnect Telecom Inc., a Delaware corporation, together with its affiliates (“ezSIMConnect”, “we”, “our”, “us”) to any business customer, partner, reseller, or white-label client (“Client”, “you”, “your”).

By registering with, purchasing from, or partnering with ezSIMConnect, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not use our Services.

ezSIMConnect Services are intended for use by businesses and organisations only. By using our Services, you confirm that you are acting in a business capacity and have authority to bind the entity you represent.

ezSIMConnect provides global eSIM connectivity and hosted roaming solutions to business clients. This may include:

• B2B eSIM provisioning and distribution
• Reseller and white-label eSIM services
• API integrations for eSIM and account management
• Partner programs and affiliate services
• Travel marketplace products, such as insurance, where available
• Software development, AI and digital marketing services through EZStudio

All Services are provided subject to availability and subject to acceptance by ezSIMConnect.

Clients may be required to register for an account or partner portal to access certain Services. You are responsible for maintaining the confidentiality of login credentials and for all activity occurring under your account. You agree to notify us immediately of any unauthorised use or suspected breach.

All orders placed via our platform, API, or through direct agreements are binding once confirmed by ezSIMConnect. Pricing is provided on a wholesale or negotiated basis and may be subject to taxes, fees, or currency conversion costs.

Payments must be made in accordance with agreed invoicing terms. Late payments may incur interest and/or suspension of Services.

If you are reselling or white-labelling our Services:

• You must not misrepresent our Services or company.
• You are responsible for your end-user pricing, branding, and customer support.
• You may not imply or represent that you own or have developed the ezSIMConnect core infrastructure.

We reserve the right to revoke access or terminate agreements if branding or use violates applicable law or our intellectual property rights.

You agree not to:

• Use our Services for any unlawful, fraudulent, or harmful purpose.
• Resell, sublicense, or redistribute Services without written agreement.
• Reverse engineer, tamper with, or attempt to gain unauthorised access to our systems or platforms.

All content, software, trademarks, and documentation provided by ezSIMConnect remain our exclusive property or that of our licensors. You are granted a limited, non-transferable, revocable license to use our Services solely for your business purposes, subject to these Terms.

Each party agrees to comply with applicable data protection laws, including, where applicable, U.S. federal and state privacy laws, the EU and UK GDPR and Brazil’s General Data Protection Law (LGPD). We process your business and client data only as necessary to provide the Services and as described in our Privacy Policy.

You are responsible for ensuring your own compliance with applicable privacy laws when using our Services, especially in a white-label or reseller capacity.

ezSIMConnect aims to maintain a high level of service uptime. However, we do not guarantee uninterrupted access and are not liable for delays, outages, or disruptions caused by network failures, maintenance, or force majeure.

Technical support is available 24/7 through designated channels, including our WhatsApp support center, where AI agents handle requests and escalate to our human support team when needed, as described in your account or partner agreement.

To the fullest extent permitted by law:

• We exclude all implied warranties, conditions, or other terms.
• ezSIMConnect shall not be liable for indirect, consequential, or business losses.
• Our total liability in any 12-month period shall not exceed the total amount paid by you for Services in that period.

Nothing in these Terms limits liability for fraud, death, or personal injury caused by negligence.

Either party may terminate the agreement with 30 days’ written notice unless otherwise stated in a separate agreement.

We may suspend or terminate your access immediately if you breach these Terms or misuse the Services.

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict-of-laws rules. The parties agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any disputes, unless a written agreement between the parties provides otherwise.

We may update these Terms from time to time. Continued use of the Services constitutes acceptance of the revised Terms. You are encouraged to review this page periodically.
